GOVERNANCE
The LPEA is governed by three bodies, namely the General Assembly, the Board of Directors and the Executive Committee.
a. The General Assembly
The members of the LPEA constitute the General Assembly, where each Charter Member and each Full Member will have a voting right. The General Assembly will have the powers conferred to it in the Association's Articles of Association and will convene at least once per year for an annual general meeting. Outside of this the General Assembly will serve as an information platform.
b. The Board of Directors
The Association's Board of Directors is nominated by the General Assembly and convenes initially on a quarterly basis. The Board of Directors will have the powers conferred to it in the Association's Articles of Association and otherwise serves as a key input provider and sounding board for the Executive Committee.
The Board of Directors is composed at all times of a majority of representatives from members qualifying as Full Members.
The Association's initial Board of Directors is composed of representatives nominated by the Charter Members. Thereafter, Charter Members will maintain an observer right to assist at any meeting of the Association's Board of Directors for as long as they are Charter Members.
Members of the Board of Directors are elected for a period of two years.
The Board of Directors meets on an as-needed basis but at least three times a year.
